INTRODUCTION

Welcome to iRazzh.

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other policies published on this platform, form a legally binding agreement between you ("User", "Buyer", "Seller", or "you") and iRazzh ("Company", "we", "us", or "our").

By accessing the platform, registering on, or using the iRazzh platform for listing products, dealership, or placing an order through any device, browser, or application, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, please stop using the platform immediately.

We may update these Terms. When a change is material, something that touches your rights, your fees, or how the platform fundamentally works, we'll give you at least 15 calendar days' notice by email and in-app message before it takes effect. Smaller corrections go live when published. Staying on the platform after any update means you accept what's changed.

1. ABOUT THE PLATFORM

iRazzh is Saudi Arabia’s digital multivendor marketplace that connects independent sellers, local businesses, wholesalers, and enterprise vendors with buyers across the Kingdom of Saudi Arabia and the wider GCC region.

iRazzh facilitates commercial transactions but is not the seller of record for third-party products unless explicitly stated otherwise. Every seller on iRazzh is an independent entity and carries sole and full responsibility for their product listing, sale, shipping, and warranty. That means accuracy, quality, regulatory compliance, packaging, dispatch, order fulfillment, and everything that follows.

iRazzh's liability in relation to third-party transactions is limited to the extent prescribed within these Terms and under applicable Saudi law.

iRazzh retains full discretion to add, change, or remove services and features at any time, without incurring liability to anyone.

Booking and Payment

Bookings can be made via phone, email, WhatsApp, or Instagram @irazzhofficial. A booking is confirmed only upon written confirmation and receipt of required payment.

2. ELIGIBILITY

Use of the iRazzh platform is open to individuals and legal entities who meet the following criteria:

All Users:

Must be 18 years of age or older.
Must have the legal capacity to enter into binding agreements under the laws of the Kingdom of Saudi Arabia.

Sellers must additionally:

Hold a valid, active commercial registration for the relevant trade category in their operating jurisdiction.
Carry all licenses applicable to the product categories they intend to sell.
Provide documented authority for whoever registers and runs the account.
Submit verified bank details for payment purposes.
Accept that certain product categories require additional documentation before a listing goes live.

Buyers must additionally:

Be of legal age for digital commerce transactions.
Have a valid delivery address in Saudi Arabia or an eligible GCC delivery zone.

We reserve the right to refuse any registration without obligation to provide an explanation and to conduct identity or eligibility verification at any time.

3. USER ACCOUNT RESPONSIBILITIES

Upon registration, you are solely responsible for:

Maintaining the strict confidentiality of your account credentials, including your login ID and password.
All activity conducted under your account, whether authorized by you or not.
Immediately notify iRazzh at support@iRazzh.com upon detecting any unauthorized access, suspicious activity, or security breach related to your account.
Ensuring that all information provided to iRazzh is truthful, accurate, complete, and current at all times.
Do not share your account access with any third party or permit others to use your credentials under any circumstances.
Cooperating with iRazzh when additional information is required to verify your eligibility or platform activity.

IRazzh shall not be held liable for any losses or damages arising from unauthorized access to your account resulting from your failure to secure your credentials.

4. USER CONTENT, LISTINGS & PLATFORM USE

Registered sellers may publish product listings on the platform using iRazzh's services. All listings must be:

Categorically accurate and placed in the correct product category.
Complete, with truthful descriptions, accurate pricing, clear photographs, and all relevant product details.

Before submitting content, images, descriptions, pricing, and contact details, sellers must hold all the rights, consents, and permissions to publish them. iRazzh takes no responsibility for content that goes up without proper authorization.

Submitted content must relate to the listed product only and must not carry unauthorized logos or watermarks, contact information, external URLs, overlapping text, or anything that violates these Terms or Saudi law.

We can edit, remove, or permanently delist any content that doesn't meet our standards. We don't have to notify you first.

5. PROHIBITED CONTENT & CONDUCT

Users must not post, list, sell, or upload:

Content that is blasphemous, defamatory, obscene, racist, ethnically objectionable, or hateful in any form.
Content that promotes or facilitates money laundering, gambling, fraud, or any illegal activity.
Products or content that conflict with Islamic law, local customs, moral values, or the laws and regulations of the Kingdom of Saudi Arabia.
Items that may threaten national security or public order.
Financial instruments or securities of any kind.
Living or deceased creatures, whether whole, partial, naturally preserved, or artificially preserved.
Weapons of any type or category.
Alcohol, tobacco, narcotics, controlled substances, psychotropic substances, or unauthorized medications.
Counterfeit, stolen, defective, damaged, or misleading products.
Non-transferable vouchers or restricted-use items.
Hazardous chemicals or regulated substances.
Any item the user does not have the legal right or authorization to sell.

Users must not engage in conduct, including but not limited to:

Breaching or circumventing any applicable law, third-party rights, or IRazzh's platform systems or policies.
Using the platform while suspended or no longer eligible.
Failing to pay for purchased items or failing to deliver sold items without a valid reason recognized under IRazzh's policies.
Using transaction acquired contact information to solicit sales outside the platform.
Manipulating the price of any listing.
Interfering with other users' listings, accounts, or platform experience.
Undermining the platform's feedback, rating, or review systems through manipulation or artificial means.
Transferring your account to any third party without IRazzh's prior written consent.
Harassing, threatening, or abusing other users or IRazzh staff in any manner.

Any violation gives us the right to suspend or permanently close the account in question, without notice and without incurring liability.

6. ORDERS, PRICING & PAYMENT

All prices displayed on the IRazzh platform are in Saudi Riyals (SAR) and are inclusive of the applicable 15% Value Added Tax (VAT), as required by the Zakat, Tax and Customs Authority (ZATCA).

By placing an order, you are making a formal offer to purchase the selected product(s), subject to these Terms and Conditions. We reserve the right to cancel any order for reasons including, but not limited to:

Pricing errors or system discrepancies.
Unavailability of stock.
Suspected fraudulent activity or platform abuse.
Regulatory or compliance-related grounds.

Where payment has already been processed for a cancelled order, a full refund will be issued through the original payment method.

7. INTELLECTUAL PROPERTY

All content on the iRazzh platform, including but not limited to the iRazzh name, logo, trademarks, interface design, software, editorial content, data compilations, product categories, and any underlying technology, constitutes the intellectual property of iRazzh or its duly licensed partners. It is protected under Saudi and international IP law.

Users are strictly prohibited from:

Reproducing, copying, distributing, or commercially exploiting any part of the platform without prior written consent from IRazzh.
Using automated tools, including bots, spiders, AI scrapers, or reverse engineering methods to collect, alter, or misuse platform content or user data.
Deleting, altering, or obscuring any copyright notices, author attributions, or proprietary marks.
Using the IRazzh name, trademarks, or branding in any manner without explicit written authorization.

8. WARRANTIES, REPRESENTATIONS & UNDERTAKINGS

You will comply with all applicable laws, regulations, and statutes, including data protection and content laws, always.
If registering on behalf of a business entity, you confirm you have full legal authority to bind that entity to these Terms.
You hold all necessary rights and permissions to grant iRazzh the usage rights described in these Terms.
Any content you submit, and any products you list, do not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party, anywhere in the world.
All information provided to IRazzh is genuine, accurate, current, and complete.
You are fully liable for any violations, damages, or losses caused to IRazzh, its administrators, its users, or any third parties as a result of your actions on the platform.

9. PLATFORM DISCLAIMER

The iRazzh platform and its services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, iRazzh expressly disclaims all warranties, whether express, implied, or collateral, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, compatibility, or uninterrupted and error-free service.

While we make every reasonable effort to maintain the accuracy of product listings and platform content, we make no representation or guarantee that any listing, description, price, or other content is accurate, complete, reliable, or current. Sellers bear sole responsibility for ensuring the accuracy of their own listings.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable Saudi law, iRazzh, including its affiliates, directors, officers, employees, agents, subcontractors, and licensors, shall not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind, including, but not limited to:

Loss of profits, revenue, or data.
Business disruption or commercial loss.
Damage arising from the content or actions of third-party sellers or users.
System downtime, technical errors, or security incidents.
Delays, cancellations, or failures in delivery or fulfilment.
Harm caused by malware or unauthorized access while using the platform.

In all cases, iRazzh's total aggregate liabilityfor any single claim shall not exceed the lesser of:

The full price paid for the specific product or transaction gives rise to the claim.
The total fees paid by you to iRazzh in the 12 months preceding the event give rise to the claim.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless iRazzh, its affiliates, directors, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable legal and attorney fees) arising out of or related to:

Your use of the iRazzh platform or services.
Your violation of any provision of these Terms and Conditions.
Your breach of any applicable law, including data protection or anti-spam regulations.
Any content you post, any product you list, or any conduct that infringes upon the rights, including intellectual property or privacy rights, of any third party or fellow user.

12. ACCOUNT SUSPENSION, TERMINATION & CANCELLATION

iRazzh reserves the right, at its sole discretion, to suspend, restrict, cancel, or permanently terminate any user account, order, or listing at any time, with or without prior notice.

Grounds for termination include, but are not limited to:

Breach of these Terms.
Fraudulent, abusive, defamatory, or unlawful conduct.
Criminal offences or Saudi law violations.
Directions from law enforcement or regulators.
Non-payment of fees.
Platform discontinuation or modification.
Prolonged inactivity.
Security vulnerabilities linked to the account.
Invalid addresses or contact information.
Orders placed through fraudulent means.
Bulk or inventory abuse purchases without authorization.

Fraud indicators that may trigger immediate action include failure to respond to payment verification, unauthorized use of another person's credentials, repeated unjustified returns or returning fake/damaged products, voucher/promo code abuse, harassment of delivery or support staff, or deliberate conduct aimed at causing financial damage to iRazzh.

Upon termination, account data, credits, and reward points may be deleted without further obligation. Transaction records may be kept for tax compliance purposes.

13. OUR RIGHT TO MODIFY THESE TERMS

iRazzh reserves the right to modify these Terms and Conditions at any time.

Material changes, including fee revisions or significant policy shifts, will be communicated via email and in-app notification at least 15 calendar days before the effective date.
Non-material changes take effect immediately upon publication on the platform.

Your continued use of the iRazzh platform following any modification constitutes your binding acceptance of the amended Terms. We encourage users to review these Terms periodically.

14. IRAZZH AFFILIATES & EXTENDED SERVICES

iRazzh may work with affiliated entities and third-party partners to offer additional features, products, or services through the platform. By registering as a buyer or seller, you consent to iRazzh establishing extended services, functions, or accounts on your behalf where appropriate, using information you have provided on the platform, to improve your overall experience.

15. GOVERNING LAW

These Terms and Conditions are governed exclusively by the laws of the Kingdom of Saudi Arabia.

16. DISPUTE RESOLUTION

iRazzh encourages all users to contact support first and try to resolve issues informally. Where that isn't possible, disputes are subject to the jurisdiction of the competent courts of Dammam, Kingdom of Saudi Arabia, in accordance with applicable Saudi law.

GENERAL PROVISIONS

17. THIRD-PARTY RIGHTS

These Terms and Conditions are entered into solely between iRazzh and the registered user. No third party has any right to enforce any provision of these Terms.

18. RELATIONSHIP OF THE PARTIES

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, franchise, or employment relationship between iRazzh and any user. The parties always remain independent entities engaging in a commercial service arrangement.

19. ASSIGNMENT

You may not assign, transfer, or delegate your rights or obligations under these Terms to any third party without the prior written consent of iRazzh. iRazzh may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

20. FORCE MAJEURE

Neither party shall be held liable for any failure or delay in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, epidemics, acts of war, civil unrest, government actions or decisions, judicial orders, power outages, or any other event recognized as force majeure under Saudi law or declared as such by the relevant governmental authority.

21. SEVERABILITY

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed from these Terms. All remaining provisions shall continue in full force and effect, provided the overall intent and commercial purpose of the agreement are not materially affected.

22. NO WAIVER

iRazzh's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any clause shall be effective unless expressly confirmed in writing, and no waiver shall constitute a continuing waiver of the same or any other clause.

23. ENTIRE AGREEMENT

These Terms, together with all incorporated policies, constitute the complete agreement between the parties and replace all prior understandings on the same subject matter.

24. REPORTING VIOLATIONS

iRazzh is committed to maintaining a safe, lawful, and trustworthy marketplace for all users. If you believe that any listing, content, or user conduct on the platform is in breach of these Terms, please report it to us in detail. All reports will be thoroughly reviewed and acted upon in accordance with our internal compliance procedures.
